1. Introduction

Welcome to Colla. These Terms & Conditions (“Terms”) govern your access to and use of the Colla platform, including the website, app, and all related services (collectively, the “Platform”). Colla is currently operated by an individual based in New York, United States of America, as an unincorporated startup.

By accessing or using Colla, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

Colla is currently in beta. The Platform is provided “as is,” features may change or be removed at any time without notice, and nothing is guaranteed.

2. Eligibility

You must be at least 18 years old to use Colla. By using the Platform, you represent and warrant that you are 18 or older. If we become aware that a user is under 18, we will take steps to remove their account.

To sign up, you must have an active account on a supported platform (currently YouTube via Google OAuth, or Twitch). Colla may add support for additional platforms in the future.

3. Your Account

When you connect your YouTube or Twitch account via OAuth, Colla requests permission to access certain channel data on your behalf. For YouTube, this includes your channel handle, subscriber count, and video view statistics, accessed via the YouTube Data API using the youtube.readonly scope. For Twitch, this includes your login name and follower count. This information is stored and displayed on your Colla profile for as long as your account exists.

This data is accessed only with your explicit consent during the OAuth sign-in flow, and is used solely to display creator metrics on your profile to facilitate collaboration decisions. It is not sold or shared with third parties. Use of data obtained through Google APIs complies with the Google API Services User Data Policy, including the Limited Use requirements.

You are responsible for all activity that occurs under your account. You agree not to share your login credentials or allow others to access your account.

4. Acceptable Use

You agree not to use Colla to:

  • Harass, threaten, or abuse other users
  • Impersonate any person or entity
  • Post or distribute spam or unsolicited promotional content
  • Post, share, or solicit NSFW or sexually explicit content
  • Solicit, offer, sell, or purchase illegal goods or services
  • Engage in any activity that violates applicable law

Colla reserves the right to review reported content and remove anything that violates these Terms at its sole discretion. Users who violate these Terms may have their account suspended or permanently banned.

5. User Content

You retain ownership of the content you post on Colla. However, by posting content — including posts, replies, profile information, and any media files you upload (such as images, videos, and audio) — you grant Colla a non-exclusive, royalty-free, worldwide license to use, display, and reproduce that content for the purposes of operating and promoting the Platform, including marketing. This license applies to content that is publicly visible on the Platform.

If you delete a post or your account, Colla will stop using that content in future marketing. However, marketing that has already been published using your content will not be retroactively removed.

Media files you upload — including profile pictures, post images, videos, and audio — are stored on Google Cloud Storage. These files are accessible via public URLs for as long as they remain on the Platform. When you delete a post or your account, associated media files are also deleted from storage.

The following are considered private and will not be used for marketing or shared publicly: direct messages, swipe decisions (left or right), match relationships, and notifications. These are visible only to the relevant parties and to Colla staff where required for moderation purposes (see Section 6).

If you delete a post, it is removed from the Platform. If you delete your account, your posts, likes, swipes, matches, and blocks are permanently deleted. However, your replies and direct messages are retained to preserve context for other users. Your name and profile picture in those replies and messages will be replaced with “Deleted User” and a generic icon. Conversations will remain accessible to the other participant.

Deleted data may persist in Colla's systems for up to 7 days due to a rolling backup retention policy before being fully purged.

6. Moderation & Privacy of Messages

Direct messages are private by default. However, if a message is reported by a user, Colla staff may review the reported message and surrounding context to determine whether a Terms violation has occurred. By using the messaging feature, you acknowledge and consent to this limited review process.

7. Collabs & Third-Party Relationships

Colla is a neutral networking platform. It facilitates connections between creators but is not a party to any collaboration agreement, arrangement, or transaction between users.

Colla is not responsible or liable for: the conduct of any user on or off the Platform; any failure to follow through on a collab; any harassment, fraud, or illegal activity carried out by a user; or the outcome of any collaboration that originates on Colla.

Colla will make reasonable efforts to keep the Platform safe, but cannot guarantee it.

8. Match Score & Reliability Score

Colla displays a match score on each creator card in the collab discovery experience. This score is an estimate of how compatible two creators may be as collaborators, based on a combination of factors drawn from their profiles and activity on the Platform.

The factors considered include things such as content niche, audience size, platform, location, and engagement with the Colla community. The exact weighting and formula are not disclosed, as publishing the full methodology could allow users to artificially inflate their score in ways that would degrade the quality of matches for everyone.

Users on the Premium tier receive a small boost to their match score as seen by other creators. This boost is minor relative to the other factors and is intended to reflect the additional commitment Premium users have made to the Platform, not to override compatibility signals. Colla reserves the right to adjust or remove this boost at any time.

The match score is not a guarantee of a successful collaboration — it is a tool to help surface potentially compatible creators, not a definitive ranking. Colla reserves the right to adjust the scoring methodology at any time to improve match quality.

Colla also maintains a reliability score for each user, which reflects their track record of following through on collaborations arranged through the Platform. When two users match and agree to collaborate, both are asked to confirm whether the collaboration took place. The exact amount by which a reliability score increases or decreases is not disclosed, but the following rules govern when adjustments are made:

  • Both confirm: If both matched users confirm that the collaboration took place, both receive a positive adjustment to their reliability score.
  • One-sided non-response: If one user confirms and the other does not respond within 3 days of the confirmation window opening, and this pattern occurs on two separate occasions, the user who did not respond will receive a negative adjustment to their reliability score.
  • Inactivity: If a user has no activity on the Platform for 7 consecutive days while a confirmation is pending, that user will receive a negative adjustment to their reliability score.
  • Mutual non-response: If neither matched user submits any confirmation within 60 days of the match being made, both users will receive a negative adjustment to their reliability score.

The reliability score is visible on your public profile. Colla reserves the right to adjust the reliability scoring methodology at any time. The reliability score is intended as a community trust signal and is not a guarantee of any user's conduct.

9. Pricing & Payments

Colla offers a free tier and a premium tier. During the current beta period, all premium features are enabled for all users at no charge. Colla reserves the right to begin charging for premium features at any time.

Before any switch from free to paid access takes effect, Colla will provide advance notice via an in-app notice displayed on the Platform. The notice will clearly state the date on which premium features will become paid, and what users need to do if they wish to continue accessing them.

When premium billing is active, payments are processed by Stripe, Inc., a third-party payment processor. Colla does not store your payment card details. All payment information is collected and stored directly by Stripe and is subject to Stripe's own Privacy Policy and Terms of Service.

Premium subscriptions are billed on a monthly basis. You may cancel your subscription at any time through your account settings, which will direct you to Stripe's Customer Portal. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for unused time unless required by applicable law.

Colla reserves the right to change pricing at any time. Existing subscribers will be notified of any price changes in advance and will have the opportunity to cancel before the new price takes effect.

10. Data & Privacy

Your data is stored for as long as your account exists. Colla uses Google Cloud SQL and Firebase as its database infrastructure. By using the Platform, you acknowledge that your data is processed by Google as a data processor on Colla's behalf, subject to Google's data processing terms.

You may download a copy of all data Colla holds about you, or permanently delete your account and all associated data, directly from your account settings. Account deletion is handled entirely through the app. Due to a rolling 7-day backup retention policy, your data may persist in backups for up to 7 days after deletion before being fully purged. Some data, including records relevant to unresolved legal matters or active reports, may be retained beyond this period for compliance purposes.

Colla is not a data storage service. In the event of data loss, Colla will not be liable for any resulting damages.

11. Disclaimers

The Platform is provided “as is”and “as available,” without warranties of any kind, express or implied. Colla makes no warranty that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. Features may be added, changed, or removed at any time.

To the maximum extent permitted by applicable law, Colla shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform.

12. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary. The remaining provisions of these Terms will continue in full force and effect.

13. Dispute Resolution

Any dispute arising out of or relating to these Terms or your use of Colla shall be resolved by binding arbitration on an individual basis, under the rules of a mutually agreed arbitration provider. Arbitration will take place in New York, USA, and be governed by the laws of the State of New York.

Class Action Waiver: You agree that any dispute will be resolved solely on an individual basis, and not as a class action, collective action, or representative proceeding.

Nothing in this section prevents either party from seeking emergency injunctive relief from a court of competent jurisdiction.

14. Changes to These Terms

Colla may update these Terms from time to time. When changes are made, users will be notified via an in-app notification. The notification will clearly state that continued use of the Platform after the effective date of the updated Terms constitutes acceptance of the new Terms.

If you do not agree to the updated Terms, you should stop using the Platform before the effective date of the changes.
